1. Definitions

“Kognital” refers to Kognital Inc., including its directors, officers, employees, agents, and affiliates.

Kognital provides artificial intelligence–powered software tools, infrastructure, and related services (collectively, the “Service”). Your use of the Service is governed by these Terms of Service (“Terms”).

Kognital reserves the right to remove content that violates this policy and may suspend or terminate accounts for repeated violations.

Kognital reserves the right to suspend or terminate accounts that violate these Terms.

11. Ownership and Intellectual Property

All intellectual property related to the Service—including but not limited to software, design, trademarks, and content—is owned by Kognital and protected by applicable laws. No rights are granted except as expressly stated in these Terms.

If you provide Kognital with feedback, ideas, or suggestions regarding the Service (“Feedback”), you assign all intellectual property rights in that Feedback to Kognital. We may use and distribute your Feedback without obligation or compensation.

13. Indemnification

You agree to indemnify and hold harmless Kognital from any claims, damages, liabilities, or expenses resulting from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your infringement on any third-party rights

Kognital may assume exclusive control over any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

14. Disclaimers

To the fullest extent permitted by law, Kognital disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, error-free, or secure operation of the Service.

15. Limitation of Liability

Kognital shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Service. If liability is established, Kognital’s maximum aggregate liability shall not exceed $100. Some jurisdictions may not allow certain limitations, so these restrictions may not apply to you.

16. Termination

Kognital may suspend or terminate your access to the Service at any time, with or without cause. Upon termination, your account may be deactivated, and Kognital shall have no further obligations to you.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Dover, Delaware.

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. These Terms do not create a partnership, joint venture, or employment relationship between you and Kognital. Kognital may assign its rights and obligations under these Terms at its discretion.

19. Entire Agreement

These Terms constitute the complete agreement between you and Kognital regarding the Service and supersede all prior agreements. Continued use of the Service signifies your acceptance of any changes to these Terms.

20. Compliance and Indemnification (Telecommunications)

You agree to fully indemnify, defend, and hold harmless Kognital against any claims, liabilities, fines, investigations, or expenses (including attorneys’ fees) arising from your use of the Service in violation of applicable federal, state, or international laws, including but not limited to telemarketing, robocalls, and electronic communications regulations.
